1. Who we are

2. The service
NOXENI is a software-as-a-service repricing tool for sellers on Amazon marketplaces. It connects to your Amazon seller account through Amazon's Selling Partner API, syncs your catalog, offers and orders, computes margins and price floors from data you provide and data retrieved from Amazon, and — when you explicitly enable it — submits price changes to Amazon on your behalf.
The service is currently offered as an early-access product. Features marked "coming soon" are not part of the service until released. We may change, add or remove features during early access; we will not silently remove safety features (price floors, guardrails, dry-run, audit logging).
3. Accounts and eligibility
The service is intended for businesses (B2B). By creating an account you confirm that you act in the course of a trade or business, that the information you provide is accurate, and that you are authorized to connect the Amazon seller account you connect. You are responsible for keeping your credentials confidential and for all activity under your account.
4. Your Amazon account and Amazon policies
Connecting your Amazon seller account happens through Amazon's official authorization flow; we never ask for your Amazon password. Your use of Amazon's services remains governed by your agreements with Amazon. You are responsible for ensuring that your use of NOXENI complies with Amazon's program policies applicable to your account. We are not affiliated with or endorsed by Amazon.
5. Repricing — your instructions and your responsibility
This section matters more than any other, so in plain words:
- Every repricing rule starts in dry-run mode. In dry-run, the service only simulates and logs decisions; it does not change prices.
- Prices are only ever changed after you explicitly enable live repricing for a rule. Enabling live repricing is your instruction to submit price changes on your behalf.
- Safety mechanisms (Protected Floor, min/max limits) are computed from the data available to the service — including cost and shipping data you provide. If the data you provide is wrong or incomplete, the resulting floors and margins can be wrong. Keeping cost data accurate is your responsibility.
- You remain the seller of record and remain responsible for the prices at which your products are offered and sold.
- You can pause a rule, disable live repricing, or use the kill switch to stop all price submissions at any time.
6. Fees and payment
The Free plan is free of charge. Paid plans during early access are agreed individually in writing (including price and billing period) before any amount is due, and are invoiced. There is no self-serve billing yet. Agreed prices are exclusive of VAT unless stated otherwise.
7. Data
How we process personal data is described in the privacy policy. Business data from your Amazon account (catalog, offers, orders, fees) is processed solely to provide the service to you and is not shared with other customers or sold.
8. Availability
We aim to keep the service available and to fix problems quickly, but during early access the service is provided without a guaranteed availability level (no SLA). Planned maintenance and dependency outages (including Amazon's API) can interrupt syncing or repricing. The service is provided "as is" to the extent permitted by law, without prejudice to the liability rules in section 10.
9. Intellectual property
The service, including its software, design and documentation, remains our property (or that of our licensors). You receive a non-exclusive, non-transferable right to use the service for your own business during the term of your account. Your data remains yours.
10. Liability
We are liable without limitation for intent, gross negligence, and injury to life, body or health. For slight negligence we are liable only for breaches of essential contractual obligations (obligations whose fulfilment makes proper performance of the contract possible in the first place), limited to the damage typical and foreseeable for this type of contract. Liability for indirect damages, lost profits and data loss caused by slight negligence is excluded to the extent permitted by law. Mandatory statutory liability (including product liability law) remains unaffected.
For clarity: pricing decisions executed after you enable live repricing are executed on your instruction (section 5); we are not liable for commercial outcomes of prices that were computed correctly from the data available at the time.
11. Term and termination
You can stop using the service and request deletion of your account at any time. We may suspend or terminate accounts that violate these terms, applicable law or Amazon policies, or — during early access, with reasonable notice — when we cannot continue to provide the service. Upon termination we delete your data as described in the privacy policy.
12. Changes to these terms
We may update these terms during early access. We will notify you of material changes by email or in the app with reasonable advance notice. If you do not agree to a change, you may terminate before it takes effect.
13. Governing law and venue
These terms are governed by the law of [GOVERNING_LAW_COUNTRY], excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Exclusive venue for disputes with merchants is [VENUE_CITY].
